This position will support the continual growth of the Dematic business globally and will report to the Senior Vice President of Legal.The Director of Legal is engaged in various activities, including:• Provide legal guidance to the Finance, Treasury, Tax and Corporate Development groups on contract interpretation, identifying and addressing risk, liability issues and material contract terms.• Assist and coordinate with Tax group on corporate restructuring activities.• Review, negotiate and draft legal documents related to the business of the Company, including commercial contracts, technology agreements, partnership agreements, strategic alliances and intercompany agreements.• Research legal issues and provide legal advice to the Company’s business operations and functional departments. • Ability to Identify, negotiate and resolve complex legal and commercial matters.• Support Treasury function with respect to (i) an array of financial products used by Dematic, (ii) intercompany debt and equity transactions, (iii) debt facilities with third parties, and (iv) banking relationships.• Assist with the global governance of affiliate and subsidiary entities, coordinate with regional corporate counsels in preparing necessary corporate actions, including board meetings, minutes, resolutions, powers of authority/delegations of authority and other corporate documentation.• Manage legal aspects of global leadership approval meetings, parent company guarantees, third party guarantees, and project bonding when required.• Work closely with and assists Research and Development team with the management of global intellectual property portfolio regarding patents including participation in Patent Committee meetings.• Provide assistance and legal advice to Management on intellectual property clearances, patent and trademark issues, and administrative proceedings involving Intellectual Property matters. • Provide assistance and legal advice to Marketing teams on trademarks, branding, domain disputes, copyrights, and other legal issues.
